Supersession in Dilapidations: When the Claim Falls Away

Understanding a Critical Legal Principle

Supersession is one of the most effective yet misunderstood principles in dilapidations law. It applies where the landlord’s intended works after lease expiry render the tenant’s alleged breaches irrelevant.

If the landlord plans to refurbish, reconfigure, or redevelop the premises, many of the repairs claimed in a dilapidations schedule may no longer represent a genuine loss.

How Supersession Affects Dilapidations Claims

Dilapidations damages are designed to compensate for loss, not to fund unnecessary works. Where finishes, partitions, services, or layouts are due to be stripped out, repairing them serves no commercial purpose for the landlord.

In such cases, claims for redecoration, reinstatement, or repair can be superseded by the landlord’s own intentions. The law does not support compensation for work that would never have been retained.

The Role of Evidence

Supersession must be supported by evidence. Planning permissions, fit-out proposals, contractor appointments, funding arrangements, and redevelopment strategies can all demonstrate that claimed works would have been rendered redundant.

At Stokemont, we focus on identifying and applying this evidence to dismantle claims that no longer reflect the reality of the landlord’s position.

Why Supersession Is Often Missed

Tenants frequently focus on the cost of works rather than the landlord’s intentions. Supersession requires a strategic view of the property’s future and an understanding of how courts assess loss.

When properly argued, it can significantly reduce dilapidations exposure and, in some cases, remove the claim entirely.

A Strategic, Not Assumptive, Defence

Supersession is not a negotiating tactic or a matter of opinion. It is a legal principle that must be applied carefully and supported rigorously.
